1. Agreement
These Terms & Conditions ("Terms") govern your use of Linxi (linxi.app), a service operated by VEMI TECHNOLOGY LLC ("VEMI Technology," "Linxi," "we," "us," or "our"). By creating an account or using Linxi, you agree to be bound by these Terms. If you do not agree, do not use the platform.
2. Service Description
Linxi is an SMS and email communication platform. Users manage their own contacts and send messages to recipients who have opted in to receive communications from them. Message delivery is provided via Twilio's infrastructure.
3. Acceptable Use
By using Linxi, you agree that:
- You will only send messages to contacts who have explicitly opted in to receive them.
- You will not send spam, unsolicited messages, or bulk messages to unverified lists.
- You will not use Linxi to send harassment, threats, or illegal content.
- You will not violate the Telephone Consumer Protection Act (TCPA) or any other applicable law.
- You will not send messages to numbers listed on the National Do Not Call Registry.
- You will not impersonate any person or entity, or send messages with fraudulent sender information.
Violations of this section may result in immediate account termination without refund.
4. SMS Compliance

- Message frequency: Message frequency varies based on user campaigns and account activity.
- Message and data rates may apply.
- To opt out: Reply STOP to any message to cancel. You will receive one confirmation and no further messages.

- Consent to receive messages is not required as a condition of purchase.
- Users are solely responsible for TCPA compliance for their own campaigns.
- Users must maintain documented opt-in records for every contact they message.
SMS Opt-In: By providing your phone number and opting in to SMS communications, you consent to receive text messages from Linxi (VEMI TECHNOLOGY LLC). No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Message frequency varies. Message and data rates may apply. User Opt-In Obligations
Users of Linxi who send SMS messages are solely responsible for:
- Obtaining express written consent from all contacts before sending messages.
- Maintaining documented proof of consent for each contact.
- Honoring opt-out requests immediately and permanently.
- Including required opt-out language ("Reply STOP to opt out") in all messages.
- Including "Msg & data rates may apply" in campaign messages.
- Complying with TCPA, CAN-SPAM, and all applicable federal and state laws.
- Not sending messages to contacts who have previously opted out.
- Not sending messages to numbers on the National Do Not Call Registry.
VEMI TECHNOLOGY LLC provides the platform infrastructure only. Users assume full legal responsibility for their messaging campaigns and recipient consent.
5. Google Workspace Integration
Connecting a Google account is optional and separate from signing in to Linxi. If you connect one:
- You authorise Linxi to use the specific Google permissions listed in our Privacy Policy — calendar access, send-only Gmail, per-file Drive access, Sheets and Docs. Linxi requests no restricted scopes: it cannot read your Gmail inbox, cannot read your Google Contacts, and cannot browse your Drive.
- Linxi's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
- You remain bound by Google's own terms for your Google account, and you are responsible for having the right to send from any address you connect.
- You may disconnect at any time in Account → Integrations, or revoke Linxi's access at myaccount.google.com/permissions. Files and events Linxi already created in your Google account stay there and remain yours.
- Google may change, restrict or withdraw its APIs. If that stops a Linxi feature working, we will disable the feature rather than substitute another route to your data.
6. Spam Policy and Financial Penalties
Linxi maintains a strict zero-tolerance spam policy. By using this platform you agree to the following:
- Each confirmed spam complaint results in an automatic $20.00 penalty charged to the payment method on file.
- Three or more unpaid penalties will result in immediate account suspension.
- Spam penalties are non-refundable, except in cases of verified false reports, subject to review.
- You agree to indemnify and hold harmless VEMI TECHNOLOGY LLC against any claims, damages, or penalties arising from TCPA violations or other unlawful messaging conducted through your account.
7. Payment Terms
- Subscription fees are charged monthly via Square.
- No refunds are provided for partial months of service.
- Failed payments result in account downgrade after 7 days.
- Prices are subject to change with 30 days' notice.
8. Free Plan Limitations
The Linxi free plan includes:
- Up to 400 contacts
- Up to 2 workspaces
- Up to 3 users
- Access to core platform features only
9. Account Termination
- You may cancel your account at any time.
- We may terminate accounts that violate these Terms.
- Your data will be deleted within 30 days of account termination.
- Any outstanding balance is due immediately upon termination.
10. Limitation of Liability
Linxi is provided "as is," without warranties of any kind. VEMI TECHNOLOGY LLC is not liable for carrier filtering, message delivery failures, or delays outside our control. VEMI TECHNOLOGY LLC is not liable for TCPA violations committed by users of the platform. Our maximum liability to you, under any circumstances, is limited to the fees you paid to Linxi in the three (3) months preceding the claim.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of Linxi will be resolved exclusively in the courts located in Palm Beach County, Florida.
12. Changes to Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of any material changes. Continued use of Linxi after such changes constitutes your acceptance of the revised Terms.
